Welcome to the ZarGates Platform (the "Platform"). By accessing or using our services, you hereby consent to be legally bound by these Terms of Use ("Terms").Should you disagree with any provision herein, we advise you to refrain from using our Platform.
ZarGates Platform, represented by ZarGates Limited, a company incorporated under the laws of Hong Kong, RM 1401, 14/F, CHUNG YING BUILDING, 20 CONNAUGHT RD WEST, SHEUNG WAN HONG KONG (“ZarGates” or “us” or “we”).
A premier Web3 Platform for the seamless distribution of Web2 and Web3 games.
These Terms meticulously govern the usage of the Platform, a groundbreaking initiative designed to distribute Web2 and Web3 games via an innovative Battle Pass quest narrative structure.Our Platform leverages cutting-edge technologies, including but not limited to blockchain, Intellectual Property Shares (IP-Shares), smart contracts, account abstraction, non-fungible tokens (NFTs), and fungible tokens for IP-Shares encryption.
(a). User: Any individual or entity that engages with the Platform.
(b). IP-Shares - Intellectual Property Share of the Platform IP-Portfolio.
(c). Token: The ZAR utility token utilized within the Platform’s ecosystem.
(d). Smart Contract: Self-executing contracts with the terms of the agreement directly written into code.
(e). Wallet: A digital wallet employed to store tokens and other digital assets.
(f). DAO: Decentralized Autonomous Organization.
(g). Marketplace: The digital marketplace facilitated by the Platform.
(h). Staking: The act of locking up tokens to earn rewards.
(i). Liquidity Pool: A pool of tokens used to facilitate trading on decentralized exchanges.
(j). Proof-of-Play-Time: A mechanism to reward users based on their playtime.
(k). Referral Tree: A structured system to reward users for referring new participants.
(l). Avatar: A visual representation chosen by a User to identify their account on the Platform, including but not limited to images, icons, illustrations, or photographs.
2.1. By initiating an account and utilizing the Platform, you expressly accept and agree to be bound by these Terms.
2.2. Users must satisfy any age or jurisdictional restrictions that apply to the specific games distributed through our Platform.
3.1. To establish an account on the Platform, users are required to provide a valid email address and a wallet address.
3.2. User identity verification is conducted via email verification and Know Your Customer (KYC) procedures facilitated by our esteemed third-party provider.
3.3. Users are entrusted with the responsibility of maintaining the confidentiality of their account credentials and are strongly advised against sharing their passwords or private keys.
4.1. The Platform issues IP-Shares encrypted by utility token known as ZAR.
4.2. This token serves multiple functions within the Platform, including but not limited to the upgrading of NFTs, enhancing user accounts, and enabling participation in Launchpad activities.
4.3. The token allocation mechanism is fixed, incorporating halving events over a period of 100 years.
4.4. Token holders do not acquire any additional rights beyond the utility within the Platform’s smart contracts.
5.1. Tokens may be acquired through airdrops for early users and rewards for playtime via the Proof-of-Play-Time mechanism.
5.2. Most transactions on the Platform are exempt from fees, except for gas costs associated with the blockchain.
5.3. Marketplace transactions are subject to a fixed fee on each sale.
6.1. The Platform provides a unique incentivization model for playtime, facilitated through platform tokens.
6.2. Tokens can be utilized for enhancements and participation in Launchpad activities.
6.3. It is imperative to note that daily rewarded playtime is capped at 2 hours.
6.4. Access to the service is by invitation, with additional features available to NFT holders.
7.1. Users are obligated to adhere to high standards of conduct, refraining from spam, exploiting, cheating, and hate speech.
7.2. Violations of these standards may result in stringent penalties, including but not limited to account suspension or termination.
7.3. Prohibited Avatar Content:
7.3.1. Users are strictly prohibited from uploading, displaying, or using Avatars that contain:
(a) explicit pornography, nudity, or sexually suggestive content;
(b) graphic violence, threats, or glorification of harm;
(c) hate speech, discriminatory symbols, or imagery targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics;
(d) illegal activities, drug use, or criminal behavior;
(e) any other content deemed inappropriate or offensive by ZarGates in its sole discretion.
7.3.2. ZarGates reserves the right to remove or replace non-compliant Avatars without prior notice and take disciplinary actions, including account suspension or termination, for repeated violations.
7.3.3. Users may report inappropriate Avatars via support@zargates.com. ZarGates will review such reports promptly and take appropriate measures.
8.1. User data is collected with the utmost security through encrypted web forms and stored on rented servers.
8.2. The Platform conducts regular audits to ensure data security and integrity.
8.3. Users have the right to access, update, and delete their data.
8.4. Access to user data is strictly limited to authorized personnel with legitimate needs.
9.1. All assets created on the Platform are the exclusive property of ZarGates.
9.2. Users are prohibited from mentioning the brand name without explicit permission.
10.1. Engaging with the Platform entails certain risks, including but not limited to market value fluctuations of assets, data security risks, and risks associated with third-party providers.
10.2. ZarGates reserves the right to suspend services in the event of data breaches or for maintenance purposes.
11.1. You become a Subscriber by completing the registration process.
11.2. Subscribers must be at least 13 years old, and additional age restrictions may apply based on local laws.
11.3. ZarGates services are not intended for children under 13, and ZarGates does not knowingly collect personal information from children under this age.
12.1. Your contractual relationship is with the ZarGates Project.
12.2. Transactions for Subscriptions and other purchases conducted with ZarGates unless otherwise specified.
13.1. Subscribers have access to various services, software, and content on ZarGates.
13.2. Each Subscription may have specific terms and additional conditions, which are binding upon acceptance.
14.1. Content and Services License: subscribers are granted a non-exclusive license to use Content and Services for personal, non-commercial use. The license ends upon termination of the Subscription or Agreement. Content and Services are licensed, not sold.
14.2. Developer Tools: subscribers may use ZarGates Developer Tools to create content, which may be distributed on a non-commercial basis unless otherwise permitted.
14.3. Fan Art: subscribers may use ZarGates game content for Fan Art on a noncommercial basis.
14.4. Dedicated Server Software: subscribers may use ZarGates Dedicated Server Software to host multiplayer games, bearing all associated costs.
15.1. The Platform operates a strict no-refunds policy.
15.2. By providing payment information, you authorize ZarGates to charge your payment method for Subscriptions and other fees.
15.3. Recurring payments are authorized for continued use of services.
15.4. ZarGates Wallet is a prepaid balance for ordering Content and Services.
15.5. Funds in the ZarGates Wallet are non-refundable and non-transferable.
15.6. ZarGates is not responsible for third-party content or services, and any separate charges incurred are your responsibility.
16.1. Subscribers must comply with ZarGates Online Conduct Rules.
16.2. Cheats and unauthorized tampering with ZarGates or Content and Services are prohibited.
16.3. ZarGates may restrict or terminate accounts or Subscriptions for illegal conduct or rule violations.
17.1. Users are strictly prohibited from creating, using, or maintaining more than one account per individual.
17.2. This includes, but is not limited to, creating multiple accounts to gain an unfair advantage, circumventing restrictions, or participating in any form of fraudulent activity.
17.3. Any violation of this policy may result in the suspension or termination of all associated accounts and the forfeiture of any in-game assets or benefits.
18.1. Users are strictly prohibited from exploiting any bugs, glitches, or unintended features within the game to gain an unfair advantage, disrupt gameplay, or engage in any form of fraudulent activity.
18.2. Any attempt to exploit such issues may result in the suspension or termination of the user's account and the forfeiture of any in-game assets or benefits.

By uploading content to ZarGates, you grant ZarGates a worldwide, nonexclusive license to use, modify, and distribute your content for the duration of the intellectual property rights.
ALL INFORMATION, SOFTWARE, AND SERVICES OFFERED BY ZARGATES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
ZARGATES HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
ZARGATES MAKES NO WARRANTY, REPRESENTATION, OR GUARANTY AS TO THE CONTENT, SEQUENCE, ACCURACY, TIMELINESS, OR COMPLETENESS OF ITS INFORMATION, SOFTWARE, OR SERVICES.
ZARGATES MAKES NO WARRANTY, REPRESENTATION, OR GUARANTY THAT THE INFORMATION, PRODUCTS, OR SERVICES WILL BE UNINTERRUPTED OR ERROR FREE OR THAT ANY DEFECTS WILL BE CORRECTED.
ZARGATES ASSUMES NO RESPONSIBILITY FOR ERRORS OR OMISSIONS IN THE INFORMATION, SOFTWARE, OR SERVICES REFERENCED OR LINKED TO ON THIS WEBSITE.
IN NO CASE SHALL ZARGATES BE HELD LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR INCIDENTAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, THOSE RESULTING FROM A LOSS OF BUSINESS, DATA, OR REVENUE; RELIANCE ON THE MATERIALS PRESENTED; DELAYS; OR BUSINESS INTERRUPTIONS ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF ZARGATES INFORMATION) REGARDLESS OF WHETHER ZARGATES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
DOWNLOADING AND USING ANY OF THE SOFTWARE OR SERVICES OFFERED BY ZARGATES IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ALL DAMAGE TO YOUR DEVICE SYSTEM, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM SUCH ACTIVITIES.
ZARGATES SHALL BE LIABLE FOR DAMAGES INCURRED SOLELY DUE TO TECHNICAL ERRORS ATTRIBUTABLE TO THE PLATFORM.
HOWEVER, THE PLATFORM SHALL NOT BE LIABLE FOR THIRD-PARTY TECHNICAL ISSUES OR FINANCIAL LOSSES. OUR LIABILITY IS LIMITED STRICTLY TO PROVIDING TECHNICAL SUPPORT.
22.1. ZarGates is authorized to amend the Terms at any time, with the amended Terms effective as soon as they are posted on this website.
22.2. Users will be duly notified of any amendments to these Terms upon their next access to the Platform.
22.3. Users must review and accept the amended Terms through a modal window in the graphical user interface (GUI).
22.4. ZarGates reserves the right to make changes to or update the content of the Platform or the format thereof at any time.
22.5. Continued use of ZarGates constitutes acceptance of the amendments.
22.6. ZarGates reserves the right to terminate or restrict access to the website for any reason whatsoever at its sole discretion.
23.1. Users retain the right to terminate their accounts at any time.
23.2. Termination may result in the forfeiture of account progress, referral tree, staked funds, and Launchpad participation rewards.
23.3. Users may cancel their accounts at any time but are not entitled to refunds for cancellations.
23.4. ZarGates reserves the right to take actions, which may include terminating your account and prohibiting you from using the Service in whole or in part (including but not limited to by deleting your account) at any time, if we reasonably believe that user have violated or breached any of these terms.
23.5. In the event that we suspend or terminate the user’s account, the user will lose access to their account and/or any Content associated with it.
24.1. These Terms are governed by and construed in accordance with the laws of Hong Kong.
24.2. All disputes arising under or in connection with these Terms shall be resolved through mediation and arbitration.
25.1. Users are solely responsible for their own tax obligations.
25.2. If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect. This Agreement constitutes the entire agreement between the parties.
